By engaging Vineyard Labs (“we”, “us”, or “our”) for software development, AI automation, or related services, you (“Client”) agree to these Terms of Service. These terms govern all project engagements unless a separate written agreement is signed by both parties.
Vineyard Labs provides custom technology services including but not limited to:
The specific scope of work for each engagement is defined in a project proposal or statement of work agreed upon before work begins.
All projects are priced on a project basis. Payment terms are specified in each project proposal. Standard terms are:
Prices are quoted in Philippine Peso (PHP) unless otherwise agreed. We accept bank transfer and other payment methods specified in the project proposal.
Upon receipt of full payment, the Client owns all custom code, designs, and deliverables created specifically for their project. Vineyard Labs retains ownership of any reusable internal frameworks, libraries, or tooling used to build the project, but grants the Client a perpetual, non-exclusive license to use them as part of the delivered system.
Third-party tools, APIs, and open-source software used in a project are subject to their respective licenses.
Revisions within the agreed project scope are included. Requests that exceed the original scope will be quoted separately and require written approval before work proceeds.
We treat all client business information, data, and project details as confidential and will not share them with third parties without your consent, except as required by law or to engage subcontractors who are bound by equivalent confidentiality obligations.
Vineyard Labs is not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our deliverables, including but not limited to loss of revenue, data loss, or business interruption.
Our total liability for any claim related to a project shall not exceed the total amount paid by the Client for that specific project.
These terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved through good-faith negotiation before pursuing formal legal proceedings.
